Definitions

ROI Hunter - means the company ROI Hunter a.s., Id. Nr.: 03103048, with its registered seat at Milady Horákové 1957/13, Brno, ZIP code 602 00, incorporated in the Companies register kept by Regional Court in Brno, file number B 7312 - the entity which supplies or provides the Service.

the Client - means a natural or legal person, who orders the Service from ROI Hunter.

the Party (or together the Parties) - means ROI Hunter or the Client, together ROI Hunter and the Client.

the Ad Account(s) - means predefined account(s) registered with ROI Hunter and associated with the ad account(s) of the Channels.

the Ads Content - means any and all information and files that the Client posts on the Channels by means of using the Service.

the Advertising Spend (also the Ad Spend) - means any and all charges payable by the Client for the advertising conducted with respect to the Ad Account(s) on the Channels and regardless of whether the Client conducted advertising campaigns using the Service or not (as the Service synchronises underlying data and creates actions on the whole Ad Account).

the Affiliate - means an entity, which is a subsidiary or a parent company of or under common control with the Party (esp. Business Factory s.r.o., Id. Nr. 28356624, with its registered seat at Milady Milady Horákové 1957/13, Brno, ZIP code 602 00, incorporated in the Companies register kept by Regional Court in Brno, file number C 63427).

the Break Clause - means an option exercisable by the Client to terminate the cooperation without a notice period on a predefined date (in the Partial Contract) before the Partial Contract expiration date.

the Channels - means the Facebook and/or the Google as defined in these TaC.

the Channel Terms - means the Facebook Terms and the Google Terms as defined in these TaC.

the Facebook Channel - means any and all advertising platforms in Facebook’s ecosystem including but not limited to Facebook, Instagram, Messenger and Atlas.

the Facebook Terms - means any and all terms and conditions including policies, procedures and/or guidelines of the Facebook Channel as amended from time to time and currently published on https://www.facebook.com/terms.php.

the Facebook Ads Guide - means any and all requirements such as but not limited to dimensions, file sizes and character limits for advertisements in each and all formats and for each and all placements as amended from time to time and currently published on https://www.facebook.com/business/ads-guide.

the Google Channel - means any and all advertising platforms in Google’s ecosystem including but not limited to Google and YouTube.

the Google Terms - means any and all terms and conditions including policies, procedures and/or guidelines of the Google Channel as amended from time to time and currently published on https://www.google.com/ads/terms.pdf.

the Partial Contract - means contractual arrangements between ROI Hunter and the Client towards provision of specific services. The Parties understand the Partial Contract as the Sales Order Form or other type of contract proposed by ROI Hunter confirmed by the Parties, i.e. sent by the first Party, accepted by the second Party and signed by an authorized representative of each Party.

the Personal Data - means data as defined by the General Data Protection Regulation (EU) 2016/679 on data protection and privacy for all individuals within the European Union and the European Economic Area and/or any and all local legislations.

the Platform - means ROI Hunter’s Channel social ads API tool, a technical application, which is used to provide the Service.

the Professional Onboarding Program - means a program of a scope and duration agreed in the Partial Contract organised and managed by ROI Hunter with the objective of setup of the Channel’s infrastructure and the Channel’s performance campaigns for the Client based on best practices of online advertising.

the Sales Order Form - means an offer to a conclusion of the Partial Contract made by the Client. The Sales Order Form contains identification of the Client, including but not limited to the Client’s bank details, contact person of the Client for purposes of providing of the Service, further conditions of the Service provided including but not limited to the period of provision of the Service, the specification of the Service, the inclusion of Professional Onboarding and its eventual fee, the valid ROI Hunter fee scheme, the payment method and other information required to establish a well documented business relationship between the Parties.

the Service - means the web-based features and services included in the Platform that enable the Client to manage, optimize and publish advertising campaigns on the Channels at scale together with any support provided by ROI Hunter.

the Terms and Conditions (also TaC) - means these terms and conditions applicable to the use of the Service. ROI Hunter may update and modify TaC from time to time and by continuing to use the Service after the date of publication of revised TaC the Client accepts the modification and the revised TaC shall enter into force after 30 calendar days have elapsed from the date of publication of revised TaC. The Client may be notified by e-mail and/or by publishing on the website (https://www.roihunter.com) and/or through the communication service embedded in the Platform.

the Trial Period - means a period defined in the Partial Contract with a separately defined Fees and payment terms.

the Unlimited Self-Served Version - means the subscription service that entitles the Client to use the Platform to its full extent under these TaC.

 

1. The Service

1.1. The Service consists of Software as a Service (“SaaS”) advertising tools and documentation provided by ROI Hunter and used by the Client via Internet. The Service can be used to create, manage and optimize the Client’s advertising campaigns on the Channels.
1.2. The Service operates between the Client and the Channels on which the advertising campaigns are being conducted, and it is the responsibility of the Client to provide that the output and results of the Service meet the Client's expectations and requirements.
1.3. ROI Hunter grants to the Client a non-exclusive, non-transferable limited right to access and use the Service, against due payment of the agreed fees, solely in connection with the Ad Account(s) on the Channels.

 

2. Rights and obligations of the Parties

The Client:

2.1. The Client is required to have the Ad Account(s) on the Channels. The Client may add new Ad Account(s) to the Service.
2.2. The Client shall register the Ad Account(s) and sign up to the Channels in connection with which the Client wishes to use the Service.
2.3. The Client is obliged to pay to ROI Hunter all agreed fees according to these TaC and/or the Partial Contract within the due date.
2.4. The Client is solely responsible for any and all results achieved using the Service.
2.5. The Client is responsible for compliance with any and all laws, regulations and policies including but not limited to the relevant effective legislation and the Channel Terms applicable to the Client’s advertising campaigns conducted using the Service.
2.6. The Client is obliged to verify a factual accuracy of commercial communication in advertising materials. The Client is also obliged to verify that the content of advertising materials shall not contravene:
  1. The relevant effective legislation - especially but not limited to the rules of competition and unfair competition protection (e.g. misleading advertising, inadmissible comparative advertising, etc.);
  2. The personality rights and/or intellectual property rights of ROI Hunter and/or  any and all third parties.
2.7. The Client agrees to indemnify, hold harmless and defend ROI Hunter against any and all claims, liabilities, damages, loss or expenses both direct and indirect arising from any and all claims, actions, third party claims or other lawsuits against ROI Hunter and/or the Client, in the event of violation of any effective legislation, rule, regulation and/or Channel Terms by the Client.
2.8 The Client shall not (i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Service in any form or media or by any means; (ii) access all or any part of the Service in order to build a product or service or feature which competes with the Service; (iii) attempt to obtain, or assist any and all third parties in obtaining, unauthorised access to the Service; (iv) license, sell, rent, lease, transfer, assign, distribute, display, disclose or otherwise make the Service available to any and all unauthorised third parties; (v) reverse engineer, decompile, decode, decrypt, disassemble, or attempt to derive any source code from the Platform (except and only to the extent any foregoing restriction is prohibited by applicable law).

ROI Hunter:

2.9. ROI Hunter is obliged to provide the Service to the Client on the base of the Partial Contract.
2.10. ROI Hunter shall confirm the Client’s registration and the Ad Account(s) in due course after having received the registration.
2.11. ROI Hunter is entitled to produce the Service as it deems appropriate. The Service and the Channels are constantly evolving and the features and availability of the Service may change without notice. ROI Hunter will endeavour to inform the Client in advance of any substantial changes in the Service on its website (https://www.roihunter.com) and/or through the Service (in the Platform, the Platform’s chat, in the Platform’s support centre) and/or by email.
2.12. ROI Hunter shall have the right, in its sole discretion, to review, reject or remove any Ads Content transmitted by the use of the Platform.
2.13. ROI Hunter makes commercially reasonable efforts to secure availability of the Service at all times. Notwithstanding the aforementioned, ROI Hunter reserves the right to suspend, discontinue or restrict access to any portion of the Service at any time and for any reason. ROI Hunter will not be liable to the Client in any way for possible consequences of the aforementioned. ROI Hunter shall inform the Client about any aforementioned action in advance except actions spanning from and/or triggered by the Force Majeure or events beyond ROI Hunter’s control.
2.14. Defects which are applied by the Client properly, in a written form and on time, is ROI Hunter obliged to remove at the earliest possible convenience.
2.15. ROI Hunter will in its sole discretion suspend the provision of the Service in case of the Client’s delay with payment of any fee for the Service with a notice sent 7 calendar days in advance by email and/or through the communication service embedded in the Platform.
2.16. ROI Hunter is entitled to use the Client’s name and logo as a reference for advertising purposes upon previous written approval by the Client’s authorized representative.
2.17. ROI Hunter is entitled in its sole discretion and without prior notice to change the working methods, hardware, data communication links, software, user interface or other system components.

 

3. Professional Onboarding Program

3.1. If the Parties agreed so in the Partial Contract, the Professional Onboarding Program (the “PO”) is a part of the Service.
3.2.

The scope of the PO is agreed in the Partial Contract or in an annex to the Partial Contract (the “SLA”) and it may contain for example:

  1. an audit and guidance in terms of setup of the Client’s infrastructure;
  2. a help with setup of the Ad Account(s) and/or advertising campaigns on the Channels;
  3. an assistance with marketing campaign running and/or performance optimization on the Channels.
3.3.

If the PO is a part of the Service in any form and scope the Client is obliged to:

  1. Commit to a sufficient test budget for the period of the PO if not explicitly specified otherwise in the Partial Contract.
  2. Provide ROI Hunter with historical performance of the Client’s previous campaigns (the Benchmark) as a base to set up the Key Performance Indicators (the KPIs).
  3. Provide ROI Hunter with all the necessary access to the Ad Account(s), Google Analytics and the Client’s website if these are required by ROI Hunter to set up the Client’s infrastructure.
  4. Provide ROI Hunter with the creative work that is needed to run all required types of campaigns on the Channels.
3.4. The fee for the PO is stated in the Partial Contract and is payable upon conclusion of the Partial Contract.


4. Fees

4.1. The Client is obliged to pay ROI Hunter fees for the right to access and use the Service according to these TaC (the “Fees”).
4.2. The Fees are agreed upon in the Partial Contract or in any bilateral amendment of the Partial Contract.
4.3. The Fees shall be calculated and invoiced based on the rules and with the periodicity set in the Partial Contract.
4.4. If the relationship between the Parties is terminated as described hereinafter in Section 8, for the last calendar month of access, the Fees are charged in full even if the relationship had terminated before the end of the calendar month.
4.5. The Fees are tax exclusive. Any and all taxes including but not limited to VAT, sales tax, etc. according to the effective legislation are charged on top of the Fees.
4.6. The Invoices are due within 30 calendar days from an invoice date unless stated otherwise in the Invoice. The Invoice is considered settled as soon as the full amount stated in the Invoice is credited to ROI Hunter’s bank account specified in the Partial Contract and/or in every Invoice.
4.7. In case of the Client’s delay in settling payments the Client is obliged to pay the contractual penalty 0,05% of the whole unsettled amount for each day of delay with payment until the whole unsettled amount and the contractual penalty according to these TaC is credited to ROI Hunter’s bank account specified on each Invoice and/or specified in the Partial Contract and/or specified by e-mail from the Finance Department Contact of ROI Hunter. In case the Client loses temporarily or otherwise the right to access the Service due to delay in settling payments, the Client is liable to pay any and all Fees according to these TaC including but not limited to the Fees billable for the duration of the notice period, Fees billable for the period during which the Service has been suspended due to delay in settling payments of the Fees even if the Client does not use the Service during any such period and any and all contractual penalties. The Client’s inactivity does not constitute a right for a refund or a discount of any kind.
4.8. The Client is solely responsible to whitelist @roihunter.com domain. Any damages, material or other, arising from delayed and/or lost communication are at the Client’s expense and ROI Hunter explicitly disclaims responsibility of any kind.

 

5. Client Responsibilities

5.1. The Client warrants that the Ads Content submitted by the Client by means of the Platform complies with these TaC and all applicable laws, codes and the best practices of online advertising. All ads managed by means of the Platform must be fully compatible with the Channel Terms and especially the Facebook Ads Guide where applicable. The Client is obliged to acknowledge such terms and guidelines.
5.2. The Client is responsible to ensure that any and all data or use of the Service shall not infringe on any copyright, protected trademark or any other proprietary right held by any and all third parties without owning an explicit written consent given by such third party or third parties governing the scope of fair use.
5.3. The Client is responsible for damage arising from publishing of any and all advertisements, its content or communication to ROI Hunter or to any and all third parties and agrees to indemnify and hold ROI Hunter harmless from any such damage.
5.4. The Client undertakes not to use the Service for any and all illegal purposes or against the Channel Terms. The Client also undertakes to comply with ROI Hunter’s reasonable directions and requests related to the Service. In the case the Client grants its subcontractor(s) and/or end-customer(s) an access to the Service, such subcontractor(s) and/or end-customer(s) shall be considered equivalent to the Client for the purposes of these TaC and the Client shall be responsible for the actions and omissions of such subcontractor(s) and/or end-customer(s) as well as their compliance with these TaC.

 

6. Limitation of liability

6.1. ROI Hunter endeavours to make commercially reasonable efforts to provide that the Service is available for use on a 24/7 basis excluding temporary maintenance, updating or repair breaks (“Downtime”). ROI Hunter does not assume any liability related to the Downtime, but it endeavours to inform the Client of the Downtime whenever reasonably possible. ROI Hunter uses external services (Facebook and Google APIs) that do not have any warranty and therefore cannot and does not warrant that the Service will be uninterrupted and/or error-free. However, ROI Hunter agrees to use commercially reasonable efforts to be at the Client's disposal in order to support the Client and to correct any material error or deficiency in the Service.
6.2.

ROI Hunter does not in any case cover or otherwise handle errors or deficiencies attributable to one of or a combination of (i) changes to the Service made by the Client which have not been approved by ROI Hunter in writing; (ii) use of the Service contrary to these TaC and/or use of the Service contrary to the written instructions given by ROI Hunter; (iii) use of the Service contrary to the Channel Terms; (iv) disturbances and/or interruptions in the Service due to data network; (v) any and all services and/or products not supplied by ROI Hunter; (vi) other reason(s) outside of the Service.

6.3. The Client acknowledges that the use of the Service is dependent on the Channel on which the Client's advertising campaigns are carried out and that the actions of the Client and any and all third-party data providers may also affect the use of the Service. ROI Hunter does not accept any liability for the operation and function of any and all third-party products and/or services and/or actions and/or omissions of any and all third parties including but not limited to the third-party data providers, the Client, the Channels or any and all third parties who operate on the Channels.
6.4. ROI Hunter is not liable for any delay in performance of its obligations under these TaC caused by circumstances that were not reasonably foreseeable by ROI Hunter at the time of the acceptance of the Partial Contract by ROI Hunter and the effects which could not reasonably be avoided or overcome, including but not limited to one of or a combination of reduced or disrupted access to the Channels, disruption or delay in external networks or Internet connection or shortage in power supply. ROI Hunter is not in any case liable to the Client for any lost profits or other consequential, special, indirect, or incidental damage arising out of or in connection with these TaC or use of the Platform or use of the Service or a combination thereof, even if the Client has not been notified of the possibility of such damage, and regardless of the legal theory on which any such damage may be based.
6.5. ROI Hunter is not liable for any errors, costs, damages, loss and disclosure of the Ads Content or other information or data not being transferred to or published on the Channels caused by a malfunction in a transfer facility or malfunction of the Channels.
6.6. The Client is responsible for fulfilling the requirements of the Personal Data processing towards persons targeted by the Service. The Parties use the Personal Data to target the Service provided by ROI Hunter to the Client. The Client is solely responsible for any breach and/or damages arising from the Personal Data processing of persons targeted by the Service.
6.7. If the Client decides to use Audience Synchronisation, Offline Conversion or similar features of the Platform, the Client is solely responsible for using hashing algorithms (for instance MD5) to anonymise any and all sensitive personal data of their customers before sending such data to ROI Hunter so that ROI Hunter does not have any access to such sensitive personal data.
6.8. To the extent allowed by law, ROI Hunter does not have any other responsibility or liability for the Service. The Service is provided “as is” and “as available” and ROI Hunter expressly disclaims all other express or implied warranties, including but not limited to the warranties of merchantability, non-infringement, correctness and fitness for a particular purpose.
6.9. ROI Hunter’s total aggregate liability under these TaC may not in any calendar year starting from the day the Client started using the Service exceed an amount equal to the aggregate amount of fees received by ROI Hunter from the Client under these TaC during the twelve (12) calendar months immediately preceding the event giving rise to such liability.

 

7. Protection of information, confidentiality

7.1. In fulfilling the obligation resulting from the Partial Contract between the Client and ROI Hunter may occur the exchange of information that is considered confidential. The owner of such information exerts commercially reasonable efforts to maintain its secrecy.
7.2.

The Parties consider as “Confidential Information” (i) all information provided between the Parties which provide an economic or competitive advantage to its owner because the information is not generally known to or available through proper means by another person who can obtain economic value from its disclosure or use; (ii) all the information that becomes known to the Parties in negotiating the conclusion of the Partial Contract; (iii) all the information that becomes known to the Parties in provision of the Service and in connection therewith. The Parties undertake to preserve confidentiality even after termination of the contractual relationship between the Parties. The Parties are not entitled to disclose any and all such information to any and all third parties without the prior written consent of the other Party and are obliged to protect them from disclosure or communication to any and all third parties in any manner whatsoever. An exception to this obligation is:

  1. an obligation to disclose information and data if so provided by applicable law (even in such a case a Party is required to ensure that information and data are only communicated to the necessary extent and the other Party is notified of such disclosure in advance);
  2. a provision of information and data to the Affiliate. The Affiliate and persons acting on behalf of the Affiliate are obliged to preserve the confidentiality of the information to the same extent as the Parties.
  3. a provision of information to ROI Hunter’s subcontractors to an extent necessary to perform a subcontractor’s service to ROI Hunter in case a written agreement that binds such contractor to protect the Client and their data to the same extent as is required of ROI Hunter.
7.3. Notwithstanding the confidentiality provisions, ROI Hunter may collect, analyse and use aggregated, deidentified technical data and related information from the Client’s account (such as product or feature usage, device metrics/metadata etc.) to facilitate market research and analysis, quality control, product development/improvement and to provide support and maintenance services. ROI Hunter may use and/or store such deidentified data and information and material derived from such information. In addition, ROI Hunter may disclose such deidentified data and information and material derived from such information, as long as it is in a form that does not identify or is not attributable to any individual or company. The Client grants ROI Hunter a perpetual, worldwide and royalty-free license to use, modify and distribute derivative works based on such data.
7.4. Each Party shall promptly upon termination of the contractual relationship between the Parties (or when the Party no longer needs the material or information in question for the purposes of the Service) cease using Confidential Information received from the other Party and return or destroy the material in question (including all copies thereof) within 30 calendar days from the termination date. Each Party shall, however, be entitled to retain the copies required by law or regulations and ROI Hunter may use information in connection with the clause 7.3.
7.5. The confidentiality and non-use obligations set out herein will remain in force for five (5) years from the disclosure of each respective Confidential Information.
7.6.

The Parties’ obligations under clause 7 shall not apply to Confidential Information that:

  1. the Receiving Party possessed before the Disclosing Party disclosed it to the Receiving Party;
  2. is or becomes publicly known, other than as a result of breach of these TaC by the Receiving Party or by anyone to whom the Receiving Party disclosed it;
  3. the Receiving Party obtains from a third-party, and the third-party was not under any obligation of confidentiality with respect to the Confidential Information and had obtained such Confidential Information legally; or
  4. the Receiving Party can prove (to the reasonable satisfaction of the Disclosing Party) that the Confidential Information was developed by or for the Receiving Party independently of the Confidential Information disclosed by the Disclosing Party.

 

8. Establishment and termination of a contractual relationship

8.1. The Partial Contract is based on the written Sales Order Form or other type of contract proposed by ROI Hunter confirmed by the Parties as defined above and delivered to ROI Hunter. ROI Hunter’s acceptance which contains a disagreement with any of the conditions listed in the Sales Order Form and/or a draft of different terms and conditions shall not be considered as acceptance but shall be considered as a new proposal.
8.2. The Parties agree that the delivery of the Sales Order Form and the acceptance may also be effected by means of an electronic communication. Such electronic communication contains either (i) the scanned document hand-signed by an authorized representative of the Party or (ii) an electronic version of the document with an electronic signature by an authorized representative of the Party executed by means of a tool provided or authorized by ROI Hunter (“eSignature”). In case the scanned document is used, the Client is obliged to send the signed Sales Order Form in a written form to ROI Hunter’s registered seat within 5 calendar days of the delivery of the acceptance of the Sales Order Form by ROI Hunter, unless the Parties agree otherwise. In case the Client does not deliver the signed Sales Order Form within 10 calendar days of delivery of the e-mail, ROI Hunter is entitled to terminate the Partial Contract immediately and without notice.
8.3.

The Partial Contract may be also terminated by:

  1. the withdrawal of the Party if (i) the other Party seriously infringes its obligation under these TaC or the Partial Contract; (ii) the other Party is declared bankrupt or enters into liquidation. The withdrawal must always be in writing. Use of email communication by an authorized person is acceptable for the submission of the withdrawal notification. All the Client’s outstanding debts to ROI Hunter are due on the first working day following the delivery of the withdrawal to the Client if ROI Hunter does not specify a later date.
  2. the termination notice of the Party, even the termination notice of the Party without stating any cause, coming with a 60 calendar days’ notice period starting on the first day succeeding the delivery of the notice. The Client is obliged to pay ROI Hunter the remuneration for the Service provided until the expiration of the notice period according to Section 4 of these TaC.
  3. the bilateral agreement of the Parties.
  4. the immediate termination by application of the Break Clause within the period specified in the Partial Contract or at the end of the Trial Period.
8.4. Upon termination with any cause, no paid Fees will be returned by ROI Hunter, and the Client is obliged to pay the Fees past due at the effective date of such termination. In case the agreed Fees are not fully paid or the obligations set out herein are not otherwise followed by the Client, ROI Hunter has rights as defined in Section 4 of these TaC.

 

9. Arbitration Clause

9.1. The Parties herein agree, that any and all property disputes, which may arise in the future out of the relationship between the Parties, the Partial Contract and these TaC in terms of reason and amount and/or in connection with it shall be finally decided with the Arbitration Court residing in the city and state of the seat of ROI Hunter or the seat of ROI Hunter’s Affiliate acting as the signatory of the Partial Contract on ROI Hunter’s behalf.

 

10. Final provisions

10.1. In case of any provision of these TaC to be or become obsolete, ineffective or invalid, it shall not result in nullity or ineffectiveness of these TaC as a whole.
10.2. Headings in these TaC are for convenience of reference only and shall in no way affect interpretation of any and rights and/or any and all obligations in relationship between the Parties.
10.3. Neither Party may assign its rights and obligations arising from the contractual relationship between the Parties without the other Party’s prior written consent. The Parties are, however, entitled to assign its rights and obligations arising from the contractual relationship between the Parties in whole or in part to the Affiliate, and in the connection with merger or acquisition process including but not limited to a transfer of business or any other corporate transaction or restructuring.
10.4. Neither Party is liable to the other Party for any failure to perform any of its obligations (except payment obligations) under the relationship between the Parties during any period in which such performance is delayed by circumstances beyond its reasonable control, such as fire, flood, war, embargo, strike, riot, terrorism, or the intervention of any governmental authority (the Force Majeure). In such an event, however, the delayed Party must promptly provide the other Party with written notice of the proved Force Majeure. The delayed Party’s time for performance will be excused for the duration of the Force Majeure.
10.5. The Client agrees and acknowledges that the title and all intellectual property rights in and to the Service and any and all data, documentation, images and ROI Hunter’s software related thereto are owned and remain vested in ROI Hunter or, where applicable, a third party (such as ROI Hunter’s partner). No intellectual property rights shall be transferred pursuant to these TaC.
10.6. In case the Client comments the Service or provides suggestions for improving the Service, the Client agrees that all such comments, suggestions and ideas thereof are fully assigned to ROI Hunter and hence ROI Hunter owns all rights to use and incorporate them into the Service.
10.7. Rights and obligations not covered by these TaC follow the Act No. 89/2012 Coll., Civil Code, the Act No. 40/1995 Coll., on Advertising Regulation as amended or a local equivalent of such legislation. The TaC, as well as the Partial Contracts, are governed by the law of the city and state of the seat of ROI Hunter or the seat of ROI Hunter’s Affiliate acting as the signatory of the Partial Contract on ROI Hunter’s behalf, excluding conflict in standards that would alter the law of governance used to a foreign law. In the event of any dispute between the Parties arising out of these TaC and/or the Partial Contract, the Parties undertake to make the greatest possible effort that may be required to reach an amicable settlement by agreement of the Parties.
10.8. All changes and amendments to the Partial Contract are made in a written form, unless the Parties agree otherwise. The Parties declare that their mutual communication shall take place through authorized persons and/or elected representatives. Concrete persons shall be designated in the Partial Contract. The Parties agree that the communication shall also take place electronically, by electronic mail to the addresses of the authorized persons and/or the elected representatives designated in the Partial Contract. Documents in electronic form can be delivered by email.
10.9. Under no circumstances shall any delay, non-exercise or partial exercise of any rights by ROI Hunter be considered as a waiver, novation or alteration of any kind to the terms and conditions of the Partial Contract or these TaC. All such rights may be exercised by ROI Hunter without prejudice at a later date.
10.10. These TaC shall become valid and effective on 01. 05. 2021 and its wording is available on the public part of ROI Hunter’s website (https://www.roihunter.com/terms-and-conditions).
